Role Overview:
We are looking for a proactive Corporate Governance Administrative Assistant to support our Johannesburg office. This role is essential in maintaining our governance framework and ensuring compliance with legal, regulatory, and corporate standards. You will support board and committee operations, manage statutory records, and facilitate communication between stakeholders to uphold effective governance practices.


Key Responsibilities:

Board and Committee Support

  • Coordinate and schedule board/committee meetings
  • Prepare agendas and distribute meeting materials
  • Record accurate meeting minutes and track follow-ups
  • Provide logistical support to board members

Compliance and Regulation

  • Maintain statutory records (e.g., shareholder and director registers)
  • Ensure timely submission of statutory filings
  • Assist in adhering to governance codes and compliance requirements

Policy and Procedure Management

  • Help draft, review, and update governance policies
  • Monitor and communicate changes in legislation

Stakeholder Communication

  • Act as a liaison between the board, executives, and key stakeholders
  • Manage governance-related communication with shareholders

Risk and Audit Coordination

  • Collaborate with risk and audit teams to address governance concerns
  • Support internal governance reporting and issue resolution

Training and Development

  • Coordinate governance and compliance training for leadership
  • Stay current on governance trends to advise best practices

Employee Engagement Support

  • Organize and manage engagement events and wellness activities
  • Handle logistics including venues, catering, equipment, and vendors
  • Ensure smooth execution of virtual and in-person events
  • Track and report on engagement outcomes in collaboration with HR

Qualifications and Skills:

  • Bachelor’s or Professional Degree
  • Minimum 5 years’ experience in corporate governance or a company secretarial role
  • Experience supporting boards and executives
  • Strong organizational and time-management skills
  • Fluent in written and spoken English
  • High attention to detail and discretion
  • Strong problem-solving and customer-centric mindset

Work Environment:

  • Based onsite at our Fourways, Johannesburg office
